Terms of Service

Effective October 8, 2026

1. Agreement to These Terms

These Terms of Service (the “Terms”) are a binding agreement between you and Launch AI Solutions LLC (“LaunchAI,” “we,” “us,” or “our”) governing your access to and use of the LaunchAI service available at https://launchai.work and related subdomains such as https://portal.launchai.work/ (together, the “Service”).

By creating an account, accepting an invitation, connecting a third-party integration, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization. If you do not agree, do not use the Service.

If you and LaunchAI have signed a separate written agreement covering the Service, that agreement controls over any conflicting term here.

2. The Service and How Automation Works

LaunchAI is a task-automation platform. You use it to set up AI agents and automated workflows that carry out tasks for you in the software systems, websites, and accounts you choose to automate. To let those agents sign in and act, you store credentials for those systems in the LaunchAI vault, and LaunchAI makes them available to your agents when they run. Depending on the features your organization enables, the Service includes:

  • A credentials vault for storing and managing login, note, and application credentials, including OAuth connections to third-party products such as Google Workspace and Microsoft 365, which your Agents use to sign in to and act in the systems you want to automate
  • Support ticketing, including attachments, retention and archiving controls, and AI-assisted summarization
  • Workflow and Agent design, including an AI copilot, and the execution of automated tasks by Agents
  • Rules tables and global search
  • Desktop client enrollment and communication

We may add, change, or discontinue features from time to time. If we make a change that materially reduces core functionality for paying customers, we will give reasonable notice where practical.

2.1 Agents and Automated Actions

An “Agent” is any AI-driven or rules-driven automated process that runs through the Service, whether built by you, by your users, or provided by LaunchAI. An Agent acts on your behalf and under the authority you delegate to it. Everything an Agent does with your credentials, including reading, creating, changing, sending, or deleting data in an Authorized System, is treated as an action taken by you.

2.2 Authorized Systems and Your Authorization

An “Authorized System” is any system, application, website, or account that you choose to automate by storing credentials for it in the Service. By storing credentials and enabling an Agent for a system, you instruct LaunchAI to make those credentials available to that Agent and you authorize the Agent to access the system and act in it. You represent and warrant that:

  • You own the system, or have the legal right and all permissions needed from its owner, account holder, and users to access it and automate it through an Agent
  • Your use does not breach any terms of service, API terms, acceptable use policy, automation or bot restrictions, or license that apply to the system, unless you have the system owner’s permission
  • You have a lawful basis, and any required consents, for the personal data that your Agents will access or process in the system

LaunchAI does not verify these matters and is not a party to your relationship with any Authorized System.

2.3 How LaunchAI Handles Credentials During Automation

Stored credentials are encrypted at rest as described in our Privacy Policy. When an Agent run needs a credential, LaunchAI’s authorized internal components decrypt it (or obtain a fresh access token) and supply it to the Agent for that task. We supply credentials only to Agents belonging to your company and only to the extent they are configured to use them. LaunchAI personnel do not use your credentials to access your systems, except in the limited security, abuse-investigation, legal-compliance, and technical-support cases described in our Privacy Policy.

2.4 Your Responsibilities for Agents

You are responsible for how your Agents are configured and what they do. In particular, you agree to:

  • Design, test, and review each Agent before relying on it in production, and monitor its results
  • Use the narrowest access that works, such as dedicated service accounts or limited-permission credentials, rather than credentials with broader rights than the task needs
  • Keep human review or approval in place for high-impact or hard-to-reverse actions, such as payments, deleting records, legal or regulatory filings, or decisions affecting individuals’ rights or safety
  • Keep stored credentials accurate and current, and update, rotate, or revoke them when passwords change, people leave, or you suspect compromise
  • Promptly pause an Agent that is behaving unexpectedly, and notify us at support@launchai.work if you suspect misuse or compromise of credentials or Agents

You bear the consequences of your Agents’ actions, including errors, data loss or exposure, locked or suspended accounts, and charges or penalties imposed by third parties.

2.5 Limits of Automation

Agents, and AI Agents in particular, can misread pages or instructions, repeat or skip steps, or fail without warning. Authorized Systems may change, rate-limit, block, or lock accounts in response to automated activity, or may require steps such as multi-factor authentication or CAPTCHA. LaunchAI does not guarantee that any Agent will complete a task correctly, completely, or at all, and is not responsible for restrictions or actions taken by an Authorized System against your accounts.

3. Eligibility and Business Use

The Service is intended for business users. You must be at least 18 years old (or the age of majority where you live) and, in any case, at least 16, to use it. You may use the Service only for lawful business purposes and in compliance with these Terms and applicable law.

4. Accounts, Companies, and Administrators

4.1 Registration and Security

Accounts are created by signup or invitation and are authenticated through Firebase Authentication. You must provide accurate information and keep your credentials confidential. You are responsible for all activity under your account. Notify us promptly at support@launchai.work if you suspect unauthorized access.

4.2 Company Tenancy

The Service is organized by company. A company’s administrators control who may join, which roles and permissions members have, which features are enabled, and how company data is retained, archived, or purged. Administrators may deactivate users, disconnect integrations, and delete company records. If you use the Service through your employer or another organization, that organization’s administrators, not LaunchAI, decide how its data is managed, and they may access, export, or delete data you place in the Service.

4.3 Accuracy of Access Decisions

Permission settings are your responsibility, including deciding which users may store credentials, which Agents may use them, and which Authorized Systems each Agent may reach. You should grant members only the access they need, including the permission required to connect or disconnect OAuth integrations.

5. Your Content and Customer Data

5.1 Ownership

You and your organization retain all rights in the content, credentials, tickets, workflows, rules, files, and other data you submit to or store in the Service (“Customer Data”). These Terms do not transfer ownership of Customer Data to LaunchAI.

5.2 License to Operate the Service

You grant LaunchAI a limited, non-exclusive, worldwide license to host, store, process, transmit, and display Customer Data solely as needed to provide, secure, support, and maintain the Service for you, including making your stored credentials available to your Agents when they run, as described in our Privacy Policy. We do not use Customer Data to train generalized AI or machine-learning models, and we do not sell Customer Data.

5.3 Your Responsibilities

You are responsible for the legality and accuracy of Customer Data and for having all rights, notices, and consents needed to submit it to the Service, including for any personal data of your own customers or employees. You must not store data in the Service that you are not permitted to store, or that is subject to special regulation (for example, payment card data or protected health information) unless we have agreed in writing that the Service may be used for that purpose.

5.4 Feedback

If you give us suggestions or feedback about the Service, we may use them without restriction or obligation to you. Feedback does not include Customer Data.

6. Third-Party Integrations

6.1 Google and Microsoft Connections

The Service lets authorized users connect third-party accounts, including Google and Microsoft accounts, through OAuth. By connecting an account you confirm that you are authorized to do so and to grant the access requested on the consent screen, and, for Microsoft organization-wide consent, that you are a tenant administrator with authority to grant it.

How we handle data obtained from these connections is described in Sections 4 and 5 of our Privacy Policy, which controls as to that data. In particular, LaunchAI uses Google and Microsoft user data only as described there and adheres to the Google API Services User Data Policy, including its Limited Use requirements.

6.2 Third-Party Terms

Your use of third-party services is governed by those providers’ own terms and privacy policies. We are not responsible for third-party services, including changes, outages, or discontinuation of their APIs, or for actions you take in them through the Service. You can revoke LaunchAI’s access at any time through the Service or through the provider (for example, your Google Account permissions or Microsoft Entra admin center).

6.3 Credentials You Store

When you store credentials in the vault, you represent that you are authorized to use them and to store them with us, and you authorize LaunchAI to encrypt, store, and supply them to your Agents as described in Section 2. Credentials may include passwords, notes, TOTP seeds, security questions, and OAuth tokens. Do not store credentials that belong to individuals who have not authorized you to use them for automation.

You are responsible for keeping stored credentials accurate and for rotating or revoking them as your security practices require. If a credential is changed or revoked at the source, Agents that depend on it will fail until you update it. Disconnecting or deleting a credential in the Service stops further use by your Agents, but does not undo actions already taken.

7. AI Features

Certain features, including support summarization, attachment AI, speech transcription, search embeddings, and the workflow AI copilot, use AI models provided by OpenAI, as described in our Privacy Policy. You acknowledge that:

  • AI output may be inaccurate, incomplete, or inappropriate, and is provided for assistance only. You are responsible for reviewing it before relying on or acting on it.
  • Workflow suggestions generated by the copilot, and actions taken by AI Agents, do not replace your own judgment, testing, and approval processes.
  • You must not use AI features in violation of applicable law or the usage policies of our AI providers, as updated from time to time.
  • AI Agents decide how to carry out tasks while they run and can take real actions in Authorized Systems. You are responsible for the scope of access you give them and for reviewing their results.

8. Acceptable Use

You agree not to, and not to permit others to:

  1. Violate any law or infringe or misappropriate the rights of others
  2. Access or attempt to access accounts, companies, or data you are not authorized to access, or circumvent permission or tenant boundaries
  3. Probe, scan, or test the vulnerability of the Service, or bypass authentication, rate limits, or other technical controls, except under a written security-testing agreement with us
  4. Introduce malware, or interfere with or disrupt the Service or its infrastructure
  5. Use the Service to send spam, phish, or engage in fraud, or to store or share credentials you obtained without authorization
  6. Reverse engineer, decompile, or attempt to extract the source code of the Service, except where law expressly permits
  7. Copy, resell, sublicense, or provide the Service to third parties as a competing service
  8. Use automated means (other than our documented APIs) to access the Service in a way that imposes an unreasonable load
  9. Upload unlawful, harmful, or infringing content
  10. Use the Service to develop a competing product or to train AI models on the Service or its outputs without our written permission

You also agree not to use Agents to:

  • Access systems or accounts you are not authorized to access, or use credentials belonging to others without their permission
  • Circumvent, disable, or defeat the security controls, CAPTCHAs, rate limits, or access restrictions of an Authorized System, unless its owner has authorized you to do so
  • Collect, copy, or transmit data from an Authorized System in violation of law or that system’s terms
  • Deceive, defraud, or harass others, impersonate people without authority, or send unsolicited or deceptive messages at scale
  • Attack, overload, or disrupt any system

We may investigate suspected violations and take appropriate action, including removing content and suspending access.

9. Our Intellectual Property

The Service, including its software, design, documentation, and trademarks, is owned by LaunchAI and its licensors and is protected by law. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes during your subscription term. We reserve all rights not expressly granted.

10. Fees and Payment

Unless an order form says otherwise, fees are non-refundable and exclude applicable taxes, which you are responsible for. We may change fees on prior notice for the next renewal term.

11. Confidentiality and Security

Each party will protect the other’s non-public information that is marked or reasonably understood to be confidential, using at least reasonable care, and use it only to perform or exercise rights under these Terms. This does not apply to information that is public, independently developed, or lawfully received from others without restriction, and a party may disclose confidential information where required by law after giving notice where legally permitted.

We maintain the security measures described in Section 10 of our Privacy Policy, including encryption of credential secrets and OAuth tokens. No security program eliminates all risk, and you agree to maintain reasonable security practices on your side, including protecting account credentials and using least-privilege credentials for Agents, and promptly rotating credentials, disconnecting integrations, or deactivating users and Agents that no longer need access. You must notify us promptly if you suspect that credentials or Agents have been compromised or misused.

12. Privacy and Data Protection

Our Privacy Policy describes how we collect, use, store, and delete personal data, and forms part of these Terms. To the extent we process personal data on your behalf that is subject to data protection laws that require a data processing agreement, we will enter into one on request; contact privacy@launchai.work.

13. Term, Suspension, and Termination

13.1 Term

These Terms apply from your first use of the Service until terminated as described below.

13.2 Termination by You

You may stop using the Service at any time. Company administrators may deactivate users and delete company records. Because the Service does not currently offer self-service deletion of an entire account and all tenant data, organization offboarding and full-tenant erasure requests should be sent to privacy@launchai.work.

13.3 Suspension and Termination by Us

We may suspend or terminate your access, with notice where practical, if you materially breach these Terms, your use poses a security or legal risk, you fail to pay undisputed fees when due, or we are required to do so by law. We may also discontinue the Service on reasonable notice.

13.4 Effect of Termination

On termination, your right to use the Service ends and your Agents will stop running. Data is handled according to the retention and deletion practices described in our Privacy Policy, including purging of stored OAuth tokens on disconnect and hard deletion of soft-deleted credentials after 30 days. Where legally required or where a legal hold applies, some records may be retained longer. Sections that by their nature should survive termination will survive, including those on ownership, fees owed, disclaimers, limitation of liability, indemnity, and dispute resolution.

14. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” LAUNCHAI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT AI OUTPUT, AGENTS, OR AUTOMATED ACTIONS WILL BE ACCURATE, COMPLETE, OR ACHIEVE ANY PARTICULAR RESULT, OR THAT THIRD-PARTY SYSTEMS WILL PERMIT OR CONTINUE TO PERMIT AUTOMATED ACCESS. Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

  1. LAUNCHAI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, OR FOR ACTIONS TAKEN BY AGENTS IN AUTHORIZED SYSTEMS AT YOUR DIRECTION, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THEIR POSSIBILITY; AND
  2. LAUNCHAI’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO LAUNCHAI FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limits do not apply to liability that cannot be limited by law, such as liability for fraud or willful misconduct.

16. Indemnification

You will defend and indemnify LaunchAI and its officers, employees, and affiliates against third-party claims, and resulting losses, damages, and reasonable legal fees, arising from (a) Customer Data or your use of the Service in violation of these Terms or law, (b) your storage or use of credentials, or your connection of third-party accounts, that you were not authorized to store, use, or connect, or (c) actions taken by Agents in an Authorized System, including claims by that system’s owner or by affected individuals. We will give you prompt notice of the claim and reasonable cooperation, and you may not settle a claim in a way that imposes obligations on LaunchAI without our consent.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law rules. The courts located in Utah County, Utah have exclusive jurisdiction over disputes. Before filing a claim, each party agrees to try to resolve the dispute informally for at least 30 days after written notice. Either party may seek injunctive relief in court to protect its intellectual property or confidential information.

18. Changes to These Terms

We may update these Terms by posting a revised version at https://launchai.work (or a linked Terms of Service page) and updating the “Last Updated” date. For material changes, we will give notice through the Service or by email where practical. If you continue to use the Service after the effective date of the change, you accept the updated Terms to the extent permitted by law. If you do not agree, stop using the Service.

19. General

  • Entire agreement. These Terms, the Privacy Policy, and any signed order form or separate agreement are the entire agreement between us on their subject matter.
  • Severability. If a provision is unenforceable, the rest remains in effect.
  • No waiver. Failure to enforce a provision is not a waiver of it.
  • Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
  • Notices. We may give notice by email, through the Service, or by posting on our website. Notices to us should be sent to the contact below.
  • Relationship. The parties are independent contractors. These Terms create no partnership, agency, or employment relationship, and there are no third-party beneficiaries.
